I am on the market for some new wheels - looking at some 17x8 ponies 255x40x17:)
Where I live, the 14" rims i had RUBBED (245x40r14) at the rear (yes i have quad shocks)
I want to stay away from the drama of 5 bolt conversion!
Could someone steer me in the right direction on what to do?
BTW - will rear disc brakes and 11" 1987 front disc with SVO master cylinder improve my stopping power/distance?

Where on earth did you find 245-40 tires in a 14" size? Hard to say why they rubbed without knowing the wheel width and offset, but that sounds mighty strange. Is the car lowered??
Go with 245-45-17 all around or get 235-45-17 front and 255-40-17 rear. The 255 will be a little tight on an 8" wheel, the 245 will fit best and should not rub with those wheels. I ran 265-40-18 rubber on a stock width rear end with 5 bolt axles and 1" lowering without a single issue. I've run 275-40-17s on 1.75" lowering out back without issue. I even had 265-50-15s with quad shocks and those didnt rub, and that was on turbines!

That is an odd size 14" tire. I thought I had a weird one with my 265-50-14's (Radial TA's) (which occasionally rubbed the quad shocks) I want to maintain my period correct look when I put those tires on back in '89. Anyone have a source for them?

I'd definitely go with the brake set up you mentioned... it should be cheap and relatively easy to do. My only comment would be that if you're doing this much work and are looking for new rims anyways... just spend the extra couple hundred and do the five lug conversion while you're at it. It increases your wheel choices and makes your car a little more "desirable" when if you decide to sell IMO.
